1. Introduction

Welcome to FrancePal. These Terms and Conditions ("Terms") govern your access to and use of our website, products, and IT services. By accessing or using our services, you agree to be bound by these Terms.

FrancePal is a société par actions simplifiée (SAS) registered in France, providing IT services including cloud solutions, cybersecurity, and digital transformation services.

"Company," "we," "us," or "our"

refers to FrancePal SAS

"Client," "you," or "your"

refers to the individual or entity using our services

"Services"

refers to all IT services, products, and solutions provided by FrancePal

"Agreement"

refers to these Terms along with any service-specific contracts

"Confidential Information"

refers to any non-public information disclosed by either party

3. Services

FrancePal provides a comprehensive range of IT services designed to help businesses thrive in the digital age:

Cloud infrastructure and migration services
Cybersecurity solutions and consulting
Digital transformation and modernization
Managed IT services and support
Software development and integration
IT consulting and strategic advisory

4. Account Registration

To access certain services, you may need to create an account. You agree to:

  • Provide accurate and complete information
  • Keep your credentials secure and confidential
  • Accept responsibility for all account activities
  • Notify us of any unauthorized access

We may suspend accounts that violate these Terms or remain inactive.

5. Client Obligations

As a client, you agree to the following responsibilities

Use our services only for lawful purposes
Provide necessary access and cooperation
Maintain appropriate backups of your data
Not interfere with our services or infrastructure
Comply with export control and sanctions laws

Prohibited Activities

  • • Reverse engineering or decompiling our software
  • • Transmitting malware, spam, or harmful content
  • • Interfering with or disrupting services

6. Payment Terms

Clear and transparent pricing in compliance with French Commercial Code

All prices in Euros (EUR) unless specified

Invoices payable within 30 days

Late payments incur interest at 3x legal rate

€40 fixed recovery fee (Article L441-10)

Note: All fees are exclusive of VAT. We reserve the right to suspend services for accounts with overdue payments after providing reasonable notice.

7-9. Rights & Protections

Understanding intellectual property, confidentiality, and data protection

Intellectual Property

  • We grant limited, non-exclusive license to use services
  • You retain ownership of your data
  • Our trademarks require written consent for use

Confidentiality

  • Both parties maintain confidentiality
  • Disclosure only to those who need to know
  • Obligations survive for 3 years after termination

Data Protection

  • We process data per GDPR requirements
  • Appropriate security measures implemented
  • Data deleted or returned upon termination

10. Service Levels

Service commitments are defined in individual SLAs. Standard support includes:

  • • Business hours: 9:00-18:00 CET, Monday-Friday
  • • Scheduled maintenance communicated in advance
  • • Emergency maintenance as needed

11. Warranties

We warrant services performed with reasonable skill and care. However:

  • • Services provided "as is" where permitted
  • • No guarantee of uninterrupted operation
  • • Third-party services have their own terms

12. Limitation of Liability

To the maximum extent permitted by law:

Total liability capped at 12 months of fees
No liability for indirect or consequential damages
No liability for loss of profits or data
Excludions do not apply to gross negligence

14. Term & Termination

Either party may terminate:

  • Upon written notice per service agreement
  • Immediately for material breach (with 30-day cure period)
  • Immediately upon insolvency or bankruptcy

Upon termination, pay outstanding fees and cease using services. We'll assist with data transition.

15-17. Legal Provisions

Force Majeure

Neither party liable for delays due to circumstances beyond reasonable control (disasters, war, epidemics, government actions).

Governing Law

Governed by French law. Disputes subject to exclusive jurisdiction of Paris courts. EU consumer rights preserved.

Dispute Resolution

Good-faith negotiations first. Mediation through CMAP if needed. EU ODR platform available for consumers.

18-19. General Provisions

Entire Agreement

These Terms plus service agreements are the complete agreement

Severability

Invalid provisions don't affect remaining terms

Waiver

Failure to enforce doesn't waive rights

Assignment

Assignment requires our written consent

Language

French version prevails in case of conflict

Changes

30 days notice for material changes
